Section 1 — Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at hiyv.ai and any related services, content, and tools (collectively, the "Services") provided by Hiyv ("Hiyv," "we," "us," or "our"). By accessing or using the Services, or by engaging Hiyv for any services, you ("you," "Client," or "user") agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.

Section 2 — Description of Services

Hiyv provides digital visibility and online presence services, which may include footprint audits and signal correction, citation and listing management, NAP (name, address, phone) consistency work, Google Business Profile optimization, website design and rebuilds, structured data and schema implementation, social media management, paid advertising, content creation and repurposing, public relations and publication outreach, and ongoing monitoring and reporting (collectively, the "Services"). The specific scope, deliverables, fees, and timelines for any engagement will be set out in a separate proposal, statement of work, order form, or written agreement (each, an "Order"). In the event of a conflict between an Order and these Terms, the Order controls for that engagement.

Section 3 — Nature of Services and No Guarantee of Results

You acknowledge that Hiyv's Services involve third-party platforms, search engines, artificial intelligence systems, directories, review sites, and other channels that are owned and controlled by third parties and are outside of Hiyv's control. Search algorithms, AI models, ranking systems, and platform policies change frequently and without notice. Hiyv does not control how any third-party platform, search engine, or AI system collects, interprets, ranks, displays, or describes information about you or your business. Accordingly, Hiyv does not warrant or guarantee any specific outcome, including any particular ranking, placement, visibility, traffic, lead volume, conversion rate, revenue, or how any AI system or search engine will represent you. Any examples, statistics, case studies, or projections we share are illustrative only and are not a promise of comparable results.

Section 4 — Client Responsibilities and Authorizations

To deliver the Services, you agree to provide accurate, current, and complete information about your business and to cooperate with reasonable requests for materials, access, and approvals. You represent and warrant that you have the right and authority to engage Hiyv to act on your behalf, including to update listings, claim or manage profiles, submit content, and communicate with platforms, publishers, and directories in connection with your business. You are responsible for the accuracy and legality of all information, content, and materials you provide to us, and you grant Hiyv permission to publish, submit, distribute, and modify such materials as reasonably necessary to perform the Services. You will maintain the confidentiality of any account credentials and are responsible for activity conducted under your accounts.

Section 5 — Fees, Billing, and Refunds

Fees for the Services are described in the applicable Order. Unless otherwise stated, fees are due in advance, are billed on a recurring basis for ongoing engagements, and are exclusive of applicable taxes. Recurring engagements continue until cancelled in accordance with the applicable Order. Except where required by law or expressly stated in an Order, fees are non-refundable once work has commenced, including for setup, audit, and labor already performed. Late or failed payments may result in suspension or termination of the Services. You authorize Hiyv to charge the payment method you provide for all fees due. Third-party costs you authorize, such as advertising spend, paid placements, or platform fees, are your responsibility and are separate from Hiyv's service fees.

Section 6 — Intellectual Property

All content, software, designs, text, graphics, logos, methodologies, processes, and other materials made available through the hiyv.ai website, excluding materials you provide, are owned by or licensed to Hiyv and are protected by copyright, trademark, and other intellectual property laws. "Hiyv" and our logos are trademarks of Hiyv and may not be used without our prior written consent. Subject to full payment and the terms of the applicable Order, Hiyv grants you a license to use the final deliverables we create for you for your own business purposes. Unless otherwise agreed in writing, Hiyv retains ownership of its pre-existing tools, templates, know-how, and general methodologies, and may use aggregated or anonymized data and general learnings to improve its Services. You retain ownership of the content and materials you provide to us.

Section 7 — Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and platform policies. You agree not to: provide false, misleading, or fraudulent information; request or direct Hiyv to post fake reviews, deceptive content, or anything that violates the rules of a third-party platform; infringe the intellectual property or other rights of any third party; or use the Services to harass, defame, or harm others. Hiyv may refuse, suspend, or terminate any request or engagement that we reasonably believe violates these Terms, applicable law, or third-party platform rules.

Section 8 — Third-Party Platforms and Links

The Services interact with and the website may contain links to third-party websites, platforms, search engines, and AI systems that Hiyv does not own or control. Your use of any third-party platform is governed by that platform's own terms and policies, and Hiyv is not responsible for the content, practices, availability, or actions of any third party. We do not endorse and are not liable for any third-party platform's decisions, including how it ranks, displays, removes, or describes you or your business.

Section 9 — Disclaimer of Warranties

To the fullest extent permitted by law, the Services and the website are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. Hiyv specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Hiyv does not warrant that the Services will be uninterrupted, error-free, or secure, or that they will achieve any particular result. No advice or information, whether oral or written, obtained from Hiyv creates any warranty not expressly stated in these Terms.

Section 10 — Limitation of Liability

To the fullest extent permitted by law, in no event will Hiyv or its owners, officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages. To the fullest extent permitted by law, Hiyv's total aggregate liability for any and all claims arising out of or relating to the Services or these Terms will not exceed the amount actually paid by you to Hiyv for the specific Services giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Section 11 — Indemnification

You agree to defend, indemnify, and hold harmless Hiyv and its owners, officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: the content, materials, or information you provide; your breach of these Terms or any Order; your violation of any law or any third-party right, including intellectual property, privacy, or platform rules; or your authorization for us to act on your behalf.

Section 12 — Term, Suspension, and Termination

These Terms remain in effect while you access the Services or have an active engagement with Hiyv. Either party may terminate an engagement as set out in the applicable Order. Hiyv may suspend or terminate your access to the Services, or an engagement, immediately and without liability if you breach these Terms, fail to pay amounts due, or use the Services unlawfully. Upon termination, you remain responsible for all fees incurred through the effective date of termination. Sections relating to fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.

Section 13 — Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. Subject to any applicable Order, you and Hiyv agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts. Before filing any claim, the parties agree to attempt in good faith to resolve the dispute informally by contacting each other. To the extent permitted by law, any claim must be brought within one (1) year after the claim arose.

Section 14 — Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect personal information and explains the rights available to California residents. By using the Services, you acknowledge our Privacy Policy.

Section 15 — Changes to These Terms

Hiyv may update these Terms from time to time. When we make changes, we will revise the effective date above and post the updated Terms on this page. Changes are effective when posted. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

Section 16 — Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Hiyv's failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; Hiyv may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with any applicable Order and our Privacy Policy, constitute the entire agreement between you and Hiyv regarding the Services.
